Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Aquiii Global Trade Solutions platform ("AGTS", "we", "us", "our"), including the websites a-g-t-s.com and agts.safa.mx, our APIs, dashboards, and related services (collectively, the "Platform"). By creating an account or otherwise using the Platform you accept these Terms.

1. Definitions

"Buyer" — an organization or its representative sourcing goods through the Platform. "Supplier" — an organization or its representative offering goods through the Platform. "Member" — a Buyer or Supplier holding an active paid membership. "RFQ" — a Request for Quotation submitted by a Buyer. "Order" — a transaction created on the Platform between Buyer and Supplier. "Content" — text, images, documents, ratings, or other materials posted to the Platform.

2. Eligibility and accounts

You must be at least 18 years old, authorized to act for the organization you represent, and able to enter binding contracts in your jurisdiction. You are responsible for credentials, all activity under your account, and keeping company and contact information accurate. We may verify identity, beneficial ownership, and creditworthiness as part of KYB. We may suspend or terminate accounts for breach, suspected fraud, sanctions risk, or repeated counterparty complaints.

3. Memberships and fees

Free and paid membership tiers are available. Paid memberships are billed in the currency and on the cadence shown at checkout (Stripe USD/MXN or SPEI invoice for Mexican plans). Fees are non-refundable except where required by law. We may change fees with at least 30 days notice. Cancellation stops auto-renewal; access continues until the end of the paid period.

4. Role of AGTS

AGTS operates a marketplace and a set of optional services (factory audits, verification, escrow, logistics coordination). Contracts for the supply of goods are entered into directly between Buyer and Supplier. AGTS is not a party to those contracts unless we are explicitly named as such (for example, in our owned-inventory channel). We facilitate negotiation, payment, and dispute escalation but do not act as a guarantor of counterparty performance unless a separate written agreement says so.

5. Listings, RFQs, and Orders

Suppliers represent that listed items are accurately described, lawful to sell, free of undisclosed encumbrances, and accompanied by required certifications. Buyers represent that their RFQs reflect a genuine intent to purchase. A binding contract between counterparties forms when a quote is accepted in writing on the Platform (or by other written confirmation referencing the Platform Order). Either party may withdraw before acceptance.

6. Payments and refunds

Payments are processed through Stripe (Buyers outside Mexico) or via SPEI bank transfer (Mexican Buyers, certain plans). Buyers authorize AGTS and Stripe to charge the agreed amount including applicable taxes and fees. Refunds are at the discretion of the Supplier in accordance with the agreed sales terms; AGTS will facilitate refunds initiated by the Supplier or required by a final dispute resolution. Chargebacks are subject to Stripe terms.

7. Verification and audits

AGTS may verify Supplier identity, certifications, and capacity through on-site audits, document review, and third-party data sources. Audit results are informational; they do not constitute a warranty of supplier performance or product quality. Buyers remain responsible for their own due diligence.

8. Acceptable use

You agree not to: (a) violate applicable law, including sanctions, export controls, and anti-corruption regulations; (b) post false, misleading, infringing, or unlawful Content; (c) use the Platform to harass, defraud, or circumvent counterparties; (d) interfere with the Platform, reverse engineer it, or extract data through automated means without permission; (e) attempt to gain unauthorized access. We may remove Content, suspend accounts, or report to authorities for violations.

9. User-generated Content

You retain ownership of Content you submit. You grant AGTS a worldwide, royalty-free license to host, store, reproduce, display, and use Content to operate and improve the Platform, including aggregated and anonymized derivatives. You represent that you have rights to grant this license and that the Content does not infringe third-party rights.

10. Confidentiality

RFQs, quotes, and counterparty communications shared on the Platform are commercial in nature and may be confidential. You agree not to disclose counterparty information to third parties except as necessary to perform the transaction or as required by law. AGTS treats your data per our Privacy Policy.

11. Intellectual property

The Platform, including software, design, trademarks, and AGTS-produced content, is owned by AGTS or its licensors and protected by intellectual-property laws. No rights are granted other than the limited right to use the Platform per these Terms.

12. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AGTS DOES NOT WARRANT THE ACCURACY OF LISTINGS, THE QUALITY OR LEGALITY OF GOODS, OR THE SOLVENCY OF COUNTERPARTIES.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGTS AND ITS AFFILIATES ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) US$1,000 OR (B) AMOUNTS PAID BY YOU TO AGTS IN THE 12 MONTHS PRECEDING THE CLAIM.

14. Indemnification

You will indemnify and hold AGTS, its affiliates, and their officers, directors, and employees harmless from claims, liabilities, damages, and expenses (including reasonable legal fees) arising out of your breach of these Terms, your Content, or your use of the Platform.

15. Termination

You may terminate your account at any time via dashboard settings or by contacting support. We may suspend or terminate access for breach, suspected fraud, sanctions risk, or any cause we reasonably determine. Sections that by nature should survive termination (e.g., disclaimers, limitation of liability, indemnification, governing law) survive.

16. Governing law and dispute resolution

These Terms are governed by the laws of Mexico (or the jurisdiction of the contracting AGTS entity for users outside Mexico, as applicable). Disputes will first be addressed through good-faith negotiation, then through binding arbitration in the agreed venue. Nothing in this section limits the right to seek injunctive relief for IP infringement or to enforce these Terms in court of competent jurisdiction.

17. Changes

We may update these Terms from time to time. Material changes will be communicated by email to registered users or by prominent notice on the Platform. Continued use after the effective date constitutes acceptance.
